Terms and Content LicenseGoverning terms for content submitted or provided to cXm Professionals Association.
These Contributor Terms and Content License (the “Terms”) govern articles, presentations, research, recordings, graphics, educational materials, and other content submitted or provided to cXm Professionals Association (“CXMPA” or the “Association”). These Terms apply unless superseded by a separate written agreement signed by CXMPA and the applicable contributor or rights holder.
1. Definitions
| “Contributor” | means the individual or organization submitting or providing Content to CXMPA, including a person acting on behalf of an employer, client, sponsor, speaker, presenter, or other organization. |
| “Content” or “Submission” | means any article, resource, research, report, presentation, recording, image, graphic, video, audio, data, media, or other material submitted to or provided to CXMPA. |
| “Editorial Guidelines” | means the CXMPA Content Submission and Editorial Guidelines in effect at the time of submission. |
| “Terms” | means this Contributor Terms and Content License document, as updated from time to time. |
2. Acceptance and Applicability
By submitting or providing Content through a CXMPA form, email address, file-transfer process, event or speaker process, webinar process, sponsor-fulfillment process, or other designated channel, the Contributor accepts these Terms and confirms that the Contributor has authority to enter into them.
Submission does not guarantee publication, promotion, distribution, placement, or continued availability. CXMPA may evaluate, edit, schedule, decline, remove, archive, restrict, replace, or discontinue Content at its discretion.
3. Contributor Ownership
The Contributor retains copyright ownership of original submitted Content unless a separate written agreement states otherwise. Submission to CXMPA does not transfer copyright ownership to the Association. The Contributor instead grants CXMPA the license described below.
4. License Granted to CXMPA
The Contributor grants CXMPA a nonexclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, publish, display, perform, distribute, archive, store, index, excerpt, quote, cite, summarize, reformat, translate, adapt, and create educational or editorial derivative materials from the submitted Content.
CXMPA may exercise this license in whole or in part through current or future Association-controlled programs, platforms, publications, repositories, and communication channels and, solely for distribution purposes, through Association-authorized partner channels such as co-branded newsletters, event partners, or content-syndication partners.
Permitted uses may include:
- The CXMPA website, newsletters, email communications, and social media
- The CXMPA industry content repository, archives, and member-resource libraries
- Knowledge bases, Bodies of Knowledge, and the EDBOK
- Learning management systems, courses, lessons, assessments, and professional-development resources
- Certification preparation and supporting educational materials
- Webinars, events, conferences, presentations, and session resources
- Research, reference, taxonomy, metadata, indexing, search, and content-retrieval systems
- Future articles, reports, summaries, collections, citations, and instructional adaptations
- Accessible, reformatted, translated, excerpted, or otherwise adapted versions of the Content
No additional royalty, licensing fee, usage fee, or other compensation is owed for permitted uses unless CXMPA and the Contributor enter into a separate written agreement.
5. Educational Adaptation and Repository Use
CXMPA may categorize Content by topic or competency; index it for search and retrieval; incorporate it into knowledge-base entries, the EDBOK, educational courses, LMS resources, certification-related materials, compiled industry resources, or member libraries; and update, summarize, reformat, or adapt it for accessibility, instruction, research, citation, or editorial context.
The Contributor authorizes CXMPA to make reasonable editorial, accessibility, formatting, instructional, and contextual adaptations necessary to exercise the rights granted under these Terms. To the extent permitted by applicable law, the Contributor agrees not to assert moral rights against CXMPA for authorized uses under these Terms.
6. Attribution and Identification
CXMPA will generally provide attribution when publishing original editorial or educational Content, where practical and appropriate. Attribution may include the Contributor’s name, professional designation, job title, organization, biography, photograph, LinkedIn profile, organization website, and original publication information.
The Contributor grants CXMPA permission to use submitted names, biographies, professional information, headshots, logos, and related identification for attribution and promotion of the Content. CXMPA may adjust the form, length, and placement of attribution based on format and use. Not every excerpt, metadata record, internal reference, archived copy, or compiled resource will necessarily include a full biography, photograph, logo, or promotional links.
7. Contributor Representations and Responsibilities
The Contributor represents and warrants that:
- The Contributor created the Content or has sufficient authority to submit it and grant the license in these Terms.
- The Content does not knowingly infringe another party’s copyright, trademark, privacy, publicity, confidentiality, contractual, or other rights.
- Required permissions have been obtained for third-party text, quotations, images, charts, recordings, research, data, case studies, and other included material.
- Sources, quotations, statistics, and factual statements are accurately represented and reasonably verified.
- Confidential, proprietary, client-restricted, regulated, or legally restricted information has not been included without authorization.
- The Content complies with applicable laws and regulations governing the Contributor’s industry and role.
- Material relationships, sponsorships, employment interests, and other relevant conflicts have been disclosed.
- Necessary permissions have been obtained from people appearing in submitted photographs, recordings, interviews, testimonials, or case studies.
- Any previous publication, pending submission, embargo, exclusivity restriction, or third-party ownership has been disclosed to CXMPA.
A Contributor acting for an employer, client, sponsor, speaker, presenter, or other organization represents that the Contributor is authorized to act on that organization’s behalf.
8. Third-Party and Referenced Content
CXMPA may link to, summarize, discuss, or cite third-party articles, reports, announcements, videos, websites, and other resources. Linking to or discussing third-party material does not transfer ownership to CXMPA or place that material under the license in these Terms.
Rights to third-party material remain with the applicable author, publisher, organization, or copyright holder. Third-party material may be used only as permitted by applicable law, license terms, direct permission, or accepted citation and linking practices.
9. Editorial Review and Modification
CXMPA may edit Content for clarity, length, structure, grammar, style, accessibility, accuracy, consistency, search visibility, headings, formatting, Association terminology, promotional tone, and legal or reputational risk.
CXMPA may change titles, subtitles, summaries, and excerpts; add editorial introductions, contextual notes, links, citations, disclosures, or calls to action; create promotional copy and graphics; convert Content to another format; separate or combine materials; request evidence or clarification; and return, decline, restrict, or remove Content.
Material changes to an attributed feature article will normally be coordinated with the Contributor when practical. Routine copyediting, formatting, summaries, excerpts, metadata, promotion, accessibility work, and educational adaptations may be completed without additional approval.
10. Accuracy, Corrections, Removal, and Archives
The Contributor should promptly notify CXMPA of a material error, outdated statement, rights issue, or necessary correction. CXMPA may correct, update, annotate, restrict, remove, archive, or replace Content when appropriate.
Removal of an original publication does not require CXMPA to retrieve or delete every prior excerpt, citation, reference, archival copy, backup, educational adaptation, printed item, downloaded copy, syndicated item, or previously distributed resource. CXMPA may preserve records necessary for editorial history, compliance, attribution, legal protection, and repository integrity.
11. Artificial Intelligence and Synthetic Media
The Contributor must disclose material use of generative artificial intelligence when AI has been used to generate substantial portions of Content, research or factual claims, images, graphics, quotations, case studies, statistics, citations, or synthetic voice or likeness.
The Contributor remains responsible for originality, accuracy, permissions, disclosure, rights clearance, and meaningful human review regardless of the tools used. CXMPA may decline or remove Content containing unverifiable claims, fabricated sources, inappropriate imitation, undisclosed synthetic media, or insufficient human review.
12. Indemnification
The Contributor agrees to indemnify, defend, and hold harmless CXMPA and its officers, directors, employees, volunteers, and agents from third-party claims, damages, liabilities, costs, and reasonable legal fees arising directly from the Contributor’s material breach of the representations and responsibilities in these Terms, including knowing infringement, unauthorized disclosure, or lack of authority to submit the Content.
13. No Endorsement
Publication or distribution by CXMPA does not necessarily constitute endorsement of the Contributor, the Contributor’s employer, a product or service, a company or platform, a methodology, a professional opinion, or a third-party website or resource. Contributor opinions are their own unless material is expressly identified as an official CXMPA position.
14. Governing Law and Venue
These Terms and any dispute arising from a Submission are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law principles. Any legal proceeding arising from these Terms or a Submission will be brought in a state or federal court of competent jurisdiction located in Georgia, unless CXMPA agrees otherwise in writing.
15. General Provisions
Version in Effect
The version of these Terms in effect when Content is submitted governs that Submission. Updates apply prospectively unless CXMPA expressly states otherwise.
Severability
If a provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
Entire Agreement
Unless superseded by a separate written agreement signed by CXMPA and the applicable Contributor or rights holder, these Terms and the incorporated Editorial Guidelines constitute the entire agreement regarding the Submission.
No Waiver
CXMPA’s failure to enforce a provision is not a waiver of its right to enforce that provision or any other provision later.
16. Submission Confirmation
By submitting Content, the Contributor confirms that the Contributor:
- Has reviewed and accepts these Terms and the applicable Editorial Guidelines
- Has authority to submit the Content and grant the rights described here
- Accepts CXMPA’s editorial review and publication process
- Consents to repository, EDBOK, knowledge-base, LMS, certification, educational, archival, citation, adaptation, and promotional uses
- Understands that no additional royalty or compensation is owed unless separately agreed in writing
- Understands that submission does not guarantee publication, promotion, placement, endorsement, or continued availability
